DIR-3 KYC: the new three-year rule

Directors no longer file KYC every September. Here is what changed in 2026, when your next filing is due, and what still has to be reported within 30 days.

What changed

Amendments to the Companies (Appointment and Qualification of Directors) Rules, notified on 31 December 2025, replace the annual KYC with a three-yearly one from 31 March 2026.

When is your next filing?

  • Directors who completed KYC under the old rules are generally next due by 30 June 2028.
  • The cycle is linked to the DIN, so directors with newer DINs can fall due in a different year. We check the due year for each DIN on the MCA portal.

If you miss it

MCA marks the DIN as deactivated for non-filing of KYC. A deactivated DIN blocks filings for every company or LLP where you are a director or designated partner, until you file with the ₹5,000 late fee.

What still needs other forms

  • A director joining or leaving a company: DIR-12, filed by the company.
  • Changes to other DIN particulars, such as your name: DIR-6.

Questions we are asked

I filed DIR-3 KYC in 2025. Do I file again in 2026?

No. Under the new rule your next filing is generally due by 30 June 2028, unless your mobile number, email or address changes before then.

Do designated partners of an LLP have to file?

Yes. Designated partners hold DINs and follow the same rule.
