These terms apply when you use sthapnacorp.com or engage SthapnaCorp ("we", "us") for any service or place an order on the platform. By submitting an application, paying a fee or asking us to act for you, you accept them.
1. What we do
We prepare, review and file documents with the Ministry of Corporate Affairs, the Reserve Bank of India, the Income Tax Department, the GST portal, the Trade Marks Registry and other authorities on your behalf, and give related advice. The scope of each engagement is what is set out in our written quote or on the service page you paid for.
1A. Orders placed on the platform
- When you place an order at sthapnacorp.com/order, we assign it to an independent professional on the platform (such as a Company Secretary, Chartered Accountant, Cost Accountant or advocate) who handles that type of work. We verify each professional's membership before they can take orders.
- The price is either the fixed price shown for the service or a written quote from the assigned expert on your order page. You pay SthapnaCorp, and work starts after payment. SthapnaCorp pays the expert after deducting its platform fee. The expert remains professionally responsible for the work under the rules of their institute or bar council.
- All communication with the expert happens through the order chat on sthapnacorp.com, so that SthapnaCorp can support you and resolve any issue.
- If the assigned professional does not accept your order in time, or you are not satisfied, we can reassign it. Tell us at sthapnacorp@gmail.com or on WhatsApp, quoting your order number.
- Experts who take orders agree to keep customer information confidential, to use it only for the order, not to contact customers outside the platform, and not to collect any payment directly from customers.
2. Approvals are made by the authorities
Name approval, incorporation, registrations, acceptance of filings and any relief are decided by the relevant authority, not by us. Timelines we mention are estimates based on experience. We are not responsible for rejection, delay or additional requirements imposed by an authority, but we will help you respond to them within the scope of the engagement.
3. Your responsibilities
- Give us complete, accurate and genuine information and documents, and tell us promptly about any change.
- Review drafts we send and confirm or correct them before we file.
- Keep your digital signature certificate (DSC) secure. Where you authorise us to use it for a filing, the authorisation is limited to that filing.
- Pay government fees, additional fees, stamp duty and penalties, which are your liability.
4. Fees and payment
- Our professional fee is as stated in the written quote we send you before starting. GST is charged where applicable.
- Government fees, additional (late) fees, stamp duty and third-party charges such as depository, valuer or auditor fees are payable at actuals and are not part of our professional fee.
- Payment is due before filing unless agreed otherwise in writing. Online payments are processed by Razorpay; we do not see or store your card details.
- Refunds are governed by our refund policy.
5. Confidentiality
We keep your information and documents confidential and use them only to provide the services and to meet legal obligations. Our handling of personal data is described in our privacy policy.
6. Reminders and tools
The compliance calendar, late fee calculator and email reminders are general information based on statutory due dates as we understand them on the date shown. They are not advice for your specific facts. Due dates can change by notification or circular, and you remain responsible for meeting your deadlines unless we have been engaged to handle a filing.
7. Limitation of liability
To the extent permitted by law, our total liability for any claim arising from an engagement is limited to the professional fee you paid us for that engagement. We are not liable for indirect or consequential loss, or for loss caused by inaccurate information, late documents or delayed approvals from you.
8. Ending an engagement
Either side may end an engagement by written notice. Fees for work already done and government fees already paid remain payable, as set out in the refund policy.
9. Governing law
These terms are governed by the laws of India. Courts at Hyderabad, Telangana have exclusive jurisdiction.
